Dr. Jennifer Shaw

Jennifer graduated Bachelor of Laws in 2009 and Doctor of Laws in 2012 from the University of Malta before graduating Master of Laws in Corporate and Commercial Law from the London School of Economics and Political Science in 2017. Her areas of academic specialisation included the Law of Corporate Finance, Corporate Law, European Capital Markets Law, Mergers, Acquisitions and Restructurings in Europe and Corporate Bankruptcy.

She has been an associate within the Corporate & Finance Practice Group of Refalo & Zammit Pace Advocates (“RZP”) for over 4 years and was promoted to senior associate in 2018. Her practice areas include banking and finance, financial services regulation, company law, corporate finance, mergers and acquisitions and real estate.

She has experience advising the board of directors of regulated companies on corporate governance (under both Maltese and European law, including the European Banking Authority’s Guidelines on Internal Governance) and also forms part of the Corporate & Finance Practice Group advising listed issuers (e.g. PAVI Shopping Complex p.l.c., GlobalCapital p.l.c. and Tigne Mall p.l.c.) on company law, corporate governance and compliance with the Listing Rules.

Jennifer’s experience includes representing clients in contentious matters related to her areas of practice before the Financial Services Tribunal, the Superior Courts of Malta, and the Administrative Board of Review of the European Central Bank. She is currently representing a client in proceedings before the Superior Courts of Malta in a matter regarding the application the Listing Rules in connection with the Crimsonwing p.l.c. takeover.
